Jim regularly acts as counsel to large and small businesses as well as individuals, representing them in business sales or acquisitions, public or private financing as well as general business representation.  Jim also regularly advises and represents clients in negotiations and work-outs with the Internal Revenue Service. His extensive experience in business representation includes buy/sell agreements, independent contractor agreements, license agreements, public and private finance documentation, joint venture agreements, asset purchase agreements and stock purchase agreements. Jim also represents borrowers in traditional and complex financing transactions and acts as bond counsel in tax-exempt financing transactions. 

Prior to joining MacElree Harvey, Jim worked for the Internal Revenue Service, Office of Chief Counsel.

Recent Representations

  • Represented early stage environmental manufacturing company with venture capital convertible bridge loan financing.
  • Represented multi-national industrial company with negotiation and drafting of joint venture arrangement.
  • Represented multi-national manufacturing company in establishment of IC-DISC as a tax planning mechanism.
  • Represented borrower/buyer in intra-family real estate purchase reorganization and tax planning transaction.
  • Represented corporation in successful negotiation and workout with IRS for back employment taxes owed.
  • Represented non-profit corporations as a borrower in issuance of approximately $243 million in tax exempt bonds. Representation included the negotiation of bad credit, real estate and construction agreements, as well as tax compliance and governance.
