Matt concentrates his practice in business transactions and corporate governance for closely held businesses, ranging in size from start-ups to large corporations. Matt provides counsel on the formation of LLCs, partnerships and corporations. He advises clients on the buy-in or buy-out of business partners and on the purchase or sale of a business. Matt represents individuals and corporations in drafting, reviewing and negotiating contracts. He regularly prepares buy/sell agreements, shareholder agreements, employment agreements, joint venture agreements, independent contractor agreements, financing and loan documentation, non-compete agreements, asset purchase agreements and stock purchase agreements. Matt also represents clients in the purchase, sale, and lease of real estate. Matt is pursuing an LL.M. in taxation at the Villanova University School of Law.

Prior to joining MacElree Harvey, Matt was with a Boston-based law firm where he was a member of the corporate and estate planning groups.

Recent Representations

  • Represented a regional corporation in the acquisition of a multi-million dollar parcel of land and in the land development, approval and construction process.
  • Successfully negotiated and drafted a software, licensing and consulting services agreement for a software developer developing a mobile application for a pharmaceutical company.
  • Assisted a business with the negotiation of a commercial lease agreement.
  • Represented a business in the successful buyout of an existing employee and partner.
  • Advised and assisted client with entity selection and formation, personal asset protection and tax planning for new company.
  • Represented aa regional corporation in a $6 million loan restructure
