MacElree Harvey estate planning attorneys are committed to helping clients protect, preserve and control their assets during their lives, even if they become disabled.

Our estate lawyers also work with clients to help them implement a plan which will pass on their estates to loved ones in the manner they want – while minimizing the cost of Federal Estate, State Inheritance and Federal Estate Income taxes.

Estate and Trust Litigation, Guardianship and Orphans’ Court Procedures

Our attorneys represent executors, beneficiaries, banks, family business partnerships, trust companies and non-profit organizations. Not only does the area of estate litigation involve decedents’ estates and trusts, but also matters involving financial disputes concerning minors’ estates. The attorneys often interpret wills, trust documents and non-profit corporate articles of incorporation.

The estate litigation department often, and with increasing frequency, refers matters to private alternative dispute resolution. In matters involving family disputes, it is often desirable for the families to resolve their differences in a non-courtroom setting. However, in matters such as surcharge actions or Petitions to Remove Executors, our attorneys are well versed in the special Orphans’ Court rules established for disputes in the Court of Common Pleas of Pennsylvania.

There is also an increase in fiduciary liability cases. These are matters that often deal with self-dealing and fraud issues when a Power of Attorney, Trustee or Executor/Administrator of an estate is defending or prosecuting actions of wrongful taking from the entities that they have been charged to financially oversee. These matters typically involve accountings, surcharge actions and actions to assess liability and damages.

Business Formation

MacElree Harvey has helped hundreds of new businesses get their start. We assist clients in the start-up phase with the critical first steps to establish their businesses. We listen to our clients’ objectives, in order to understand the nature of their business, taking into consideration liability concerns, tax ramifications, management and ownership structures, financial issues, and other issues specific to their business.

Transactions and Transitions

MacElree Harvey aims to simplify the legal process and provide affordable, high-quality corporate law services so our clients can stick to what they do best while we handle the compliance, contractual and other legal concerns. We assist owners and boards of directors maintain their operations and foster growth while avoiding legal and regulatory pitfalls. When necessary, we work with our litigation group to resolve disagreements as part of the business divorce process.

Family Businesses

MacElree Harvey has worked closely with generations of family business owners and executives. We understand that an owner’s closely held business may be a family’s largest and most important asset. We provide advice related to governance, risk management, employment, real estate, and tax matters, as well as continuity and succession planning. In addition, we help family business owners anticipate risk and conflict through each stage of their business. We evaluate the goals of a business’s current and future owners and advise clients on advanced planning related to management, tax structures, valuation, and transition.

As family businesses pass from generation to generation, transferring ownership, control and assets can be a complex and emotional process. Our attorneys work with families and their advisers to do advance planning for these transitions, minimizing conflict and stress. If disputes arise within the family as part of this process, our attorneys are highly skilled at dealing with those conflicts and negotiating them to resolution. We apply our experience and knowledge from prior successful transitions to our clients’ situations to achieve clients’ goals.

Family business succession planning is a vital component for any closely-held business owner’s estate plan. Our business attorneys work closely with our estates and trusts group, coordinating our efforts to plan business ownership transfers using methods that satisfy our clients’ personal objectives while minimizing risk and tax burdens.

Professional Practices

Owners of professional practices are subject to the same important business decisions as to any other business owner. Doctors, dentists, accountants, lawyers, architects and owners of other licensed professional practices frequently call upon our attorneys for counsel on the legal issues confronting their businesses.

MacElree Harvey’s business attorneys regularly establish professional practices, assisting clients with entity selection and formation, as well as management and governance. Our real estate attorneys negotiate leases for office space and space sharing agreements. As practices grow, owners may choose to add associate members. These changes require developing employment contracts, partnership tracks, non-competition agreements, and compensation plans. Prior to joining MacElree Harvey in 1999, Leo served as a judicial clerk for two judges: the first a judicial clerkship with the Honorable Charles R. Alexander of the Court of Common Pleas of Clarion County, Pennsylvania and the second as chief judicial clerk for the Honorable James R. Cavanaugh of the Superior Court of Pennsylvania. These responsibilities provided Leo with experience and insight into the judicial decision-making process, which has helped him to better serve his clients.

Notable Representations

  • Represented landlord in a case where the tenant defaulted on a commercial lease. Recovered possession of the leased property for the landlord and a substantial portion of the unpaid back rent.
  • Defended client sued as a guarantor of a business loan by filing a petition to strike and/or open the judgment. Matter resolved after commencement of litigation at a substantial discount of the amount owed on the guaranty.
  • Debt workout/restructuring for a client in the construction industry who defaulted on obligations to lenders and suppliers due to the slumping real estate market. Assisted the client in re-working certain loans and obligations and delaying others so that he could remain in business.
  • Defaulting borrower filed bankruptcy on the eve of the execution on borrower’s real estate by the client. Obtained retroactive relief from the automatic stay on client’s behalf to allow the execution to proceed.
  • Represented a client in an investigation and litigation proceeding involving embezzlement and fraud by company employees. Successfully pursued former employees and obtained substantial recovery of stolen funds.
  • Client was sued by a bankruptcy trustee for payments made to it on the eve of the debtor’s bankruptcy. Resolved the matter with no payment to the bankruptcy trustee based on value given by client and the monies received by client were in the ordinary course of business.
