Dan uses his nearly 30 years of experience to assist families and businesses with an assortment of legal matters.  He represents clients in a range of estate and trust matters, including preparing wills, trusts, powers of attorney, and creating legal entities in order to plan for family wealth transfers and business successions.  He also serves as counsel for numerous local businesses, including startups, established family companies, and large regional operations.  Dan regularly assists clients with diverse real estate matters ranging from simple refinances to multimillion dollar purchases, and a variety of business matters from basic contracts and business formations to complex transactions.  Because of his experience successfully resolving business issues for his own clients, Dan has been hired as a mediator by third parties as an alternative to litigating in court.  He has also served as the court-appointed trustee in several fiduciary litigation cases appearing before the Delaware Court of Chancery, where he also regularly serves as the court-appointed attorney ad litem in guardianship cases.

Prior to joining MacElree Harvey, Dan most recently served as a founding member and managing partner of Crossland, Heinle & Bryde.  Born and raised in Delaware, Dan attended the Tatnall School and the University of Rochester prior to graduating from the Villanova University School of Law. 

In his spare time Dan enjoys traveling, listening to music, and spending time with friends and family.  On fall weekends he can be found cheering on the Pittsburgh Steelers and the Penn State Nittany Lions.

Notable Representations

  • Represented corporate sellers in the $25 million transfer of three operating car dealerships and two commercial properties, with partial seller financing.
  • Developed a wealth transfer plan to carry out a client’s philanthropic goals including a charitable remainder trust that successfully provided for the grantor and his wife before providing substantial bequests to several well-known charities.
  • Helped a client with the purchase of a sizable industrial property, from negotiating the deal and navigating multiple state-imposed environmental restrictions, through settlement and construction of a warehouse on the property.
  • Negotiated and documented the real estate, business and franchise transfer terms involved in the sale of a client’s business, which included three fast food restaurants and two commercial properties.
  • Assisted in the design and creation of a complex wealth transfer plan, including family limited liability companies and generation skipping trusts, to enable the transfer of a family real estate compound and multiple commercial properties valued at over $20,000,000 to succeeding generations.
  • Successfully counseled a business client through the legal process and the lender’s requirements to obtain $12,500,000 in SBA and other financing enabling them to develop an entertainment facility.
  • Structured the transition of a series of family-owned companies to the next generation through a gifting plan, including the use of valuation discounts, effectuating a substantial estate tax savings.
  • Defended a commercial condominium association against a Writ of Monition, thereby preventing the commercial condominium building from being subject to a lien and possible sheriff’s sale.
  • Counsels families and individuals in estate probate and trust administration matters including: the preparation of wills, trusts, powers of attorney, and advance health directives; retitling assets into trust; probating estates; and planning for generational transfers.
  • Acts as outside legal counsel for local and regional businesses, assisting them in matters including: business startup considerations such as incorporation, licensing and financing; contract drafting, negotiation and review; documenting ownership transfers and financial transactions; preparing statutorily required corporate documentation; and business continuation planning. 
  • Assists clients with commercial and residential real estate issues such as: purchases and sales; refinances; lease drafting and review; creating easements; intrafamily property transfers; and preparing deeds, mortgages, and deed restrictions.

Businesses and business owners in the Mid-Atlantic, particularly Southeastern Pennsylvania, turn to Matthew Cooper for his extensive experience in all aspects of the corporate business life cycle including entity formation, commercial lending, mergers and acquisitions and private securities offerings.

Matthew’s clients range from newly-minted startups to third-generation family businesses to middle market corporations. Many of Matthew’s clients reside in the agricultural/mushroom, food and beverage, financial services and landscaping industries; however, his practice is industry agnostic. For many of his clients, Matthew acts as their go-to outside counsel, anticipating their business’ needs and being there for 24/7 advice and counsel. Clients remark on his responsiveness, accessibility, attention to detail and remarkable “let’s get to yes” energy.

Matthew is a transactional attorney laser-focused on getting deals closed on the terms and timing that his clients want. Whether buy-side or sell-side, Matthew is a trusted advisor for much of the middle market mergers and acquisitions happening in Southeastern Pennsylvania. He is one of only a handful of attorneys in Chester County experienced in handling private placements. Thus, when businesses seek to raise capital and fundraise, they turn to Matt for this specialized expertise knowing that he can turn a letter of intent into a successful fundraise on timelines that clients need.

Matthew began his career in the Washington, D.C. office of an Am Law 100 firm where he counseled management and boards of directors of private and public companies in navigating legal challenges, while facilitating their compliance with current and future laws and regulations. His experience in Washington, D.C. included the representation of Fortune 500 and private equity companies with SEC disclosure and financial reporting rules and best practices, corporate governance, commercial lending, fund formation and capital-raising/strategic transactions.

A summa cum laude graduate of Virginia Tech, Matthew was a member of Phi Beta Kappa, the nation’s oldest academic honor society, and Omicron Delta Kappa, the national leadership society. He earned his J.D. from William & Mary Law School where he served on the William & Mary Business Law Review and as a member of the school’s Alternative Dispute Resolution Team.

  • Represented, as securities counsel, OTC-listed client in their Chapter 11 bankruptcy and accompanying $6.7 million asset sale and winding-down process.
  • Represented OTC-listed client in a restructuring transaction providing for the satisfaction and extinguishment of debt obligations under an existing Credit Agreement and providing for the issuance of $3 million in new capital.

Securities & Private Placements

  • Represented NASDAQ-listed client, as lead counsel to the issuer, in its $375 million Rule 144A/Regulation S offering of senior notes and related guarantees from certain subsidiaries.
  • Represented 501(c)(3) corporation in its borrowing of $163 million in sustainability bonds to fundraise the construction, development, and implementation of new and existing structural improvements to one of the country’s premier horticultural display gardens.
  • Represented OTC-listed client in obtaining $20 million equity line of credit with securities registered on Form S-1.
  • Represented private fund client in its $25 million offering of subscription units for fund’s targeted investments in one of the U.S. Treasury Department’s Qualified Opportunity Zones with a focus on start-up businesses in the internet infrastructure, cellular coverage, and green technology spaces.
  • Represented Chester County distillery in $1.5 million private placement of securities to accredited investors.
  • Represented Chester County distillery in its $1.2 million private placement offering of securities under Regulation Crowdfunding.
  • Represented Philadelphia-based coffee roastery in $2 million private placement of securities to accredited and non-accredited investors; preparation of Private Placement Memorandum.

Jeff Burke is a Partner at MacElree Harvey, Ltd., working in both the firm’s Business and Litigation practice groups, with an emphasis on employment law. Jeff counsels businesses and individuals on equal employment opportunity (EEO) policies, disability accommodation, employment & severance agreements, restrictive covenants, executive compensation, independent contracting, workforce audits, and other employment-related matters. In the employment law field, Jeff has provided employee and management training to businesses as well as continuing education seminars to other attorneys. Jeff also provides legal counsel in merger and acquisition transactions for employment-related due diligence and contract negotiations.

In his litigation practice, Jeff has successfully resolved numerous disputes in state and federal court and before administrative agencies, including Title VII discrimination claims based upon sex, race, national origin, and religion, Americans with Disability Act claims, compensation claims under state and federal wage and hour laws, and restrictive covenant / non-competition claims, to name a few. Jeff also applies his considerable litigation experience to select complex commercial disputes, working with his partners on contract, real estate, construction and shareholder cases.

In addition to being an experienced litigator and transactional attorney in the field of employment law, Jeff is also a Society for Human Resource Management Certified Professional®.  This certification indicates that Jeff has a deep understanding of HR principles that enables him to provide first-rate legal advice grounded in the latest industry knowledge.

Prior to joining MacElree Harvey, Jeff worked for 6 years at an insurance defense litigation firm, where he represented clients across multiple disciplines in state and federal court, including employment discrimination, personal injury, civil rights, product liability and construction litigation. Before that, Jeff was an associate with a small-size, general practice law firm focusing on criminal defense as well as civil and domestic litigation.

Jeff is a graduate of the University of Pittsburgh School of Law, where he was a recipient of the Class of 2008 Community Service Award. Before attending law school, he received a Bachelor of Science degree in Finance from The Pennsylvania State University, University Park, with minors in Economics and Political Science.

Andrew Silverman is an attorney in the firm’s Business Department. Andrew’s practice focuses on providing advice to both principals and stakeholders of Delaware and Pennsylvania business entities concerning mergers and acquisitions, business divorce and inter-company conflicts, complex corporate governance and financing matters, intellectual property, and commercial agreements.

Andrew is a graduate of the University of Pittsburgh and Widener University School of Law. In addition to practicing law, Andrew is on the board of the World Trade Center Delaware, whose mission is to assist Delaware entities and those who seek to do business in Delaware with international commerce. Frank William Hosking III is an associate in the Litigation Department at MacElree Harvey, Ltd., where he represents individuals and businesses in insurance and commercial disputes across Pennsylvania and New Jersey. Known for his thorough case preparation and client-focused approach, Frank guides clients through all stages of litigation—from pre-suit strategy through trial.

Frank previously practiced at Wheeler, DiUlio & Barnabei, P.C. in Philadelphia, where he managed a high-volume caseload, representing more than 110 clients at a time through arbitrations and trials. He drafted successful motions, reviewed insurance policies for coverage disputes, and negotiated settlements totaling over seven figures.

Earlier in his career, Frank worked at Russell, Krafft & Gruber, LLP in Lancaster, handling both litigation and transactional matters, including estate planning, business agreements, and zoning issues. He also gained experience at Young Conaway Stargatt & Taylor, LLP and the Law Office of Peter A. Levin, P.C., where he contributed to cases involving bankruptcy, post-conviction relief, and federal criminal defense.

A graduate of Drexel University Thomas R. Kline School of Law, Frank earned recognition as a Rising Advocate Scholar and appeared on the Dean’s List multiple times. He holds a Bachelor of Science in Chemistry-Biology, cum laude, from West Chester University, where he was part of the Honors College and Pre-Medical Program.

Frank is an Eagle Scout and a Second Degree Member of the Knights of Columbus. His leadership, discipline, and sense of service continue to inform his work as a dedicated advocate for his clients.
